If you are using our services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" include that entity.

We may modify, suspend, or discontinue any service, lesson format, schedule, instructor assignment, or program offering at any time, subject to any prepaid services or applicable legal requirements.
3. User Obligations and Responsibilities
You agree that you will:
- Provide accurate, current, and complete information when booking, registering, or communicating with us;
- Ensure that your contact and payment information remains up to date;
- Attend lessons and sessions on time and prepared for the scheduled service;
- Use our services only for lawful purposes and in accordance with these Terms;
- Maintain appropriate equipment, software, internet access, and a suitable environment for online lessons where applicable;
- Not record, reproduce, distribute, publish, or share lessons, materials, or communications without our prior written consent, unless permitted by law;

You are responsible for ensuring that our services are suitable for your intended purpose. If you are under the age of majority in your province or territory of residence, a parent or legal guardian must consent to your participation and may be required to enter into these Terms on your behalf.
We may suspend or terminate access to services if you violate these Terms, engage in abusive or inappropriate conduct, or fail to pay amounts due.
4. Payment Terms and Conditions
Fees, package prices, and applicable taxes will be communicated at the time of booking, registration, or invoice issuance. Unless otherwise stated in writing, all fees are due in advance of the lesson, class, training block, or other service period.
By providing payment information, you authorize Maple Leaf German Learning Ltd. and our payment processors to charge the applicable fees, taxes, and any other amounts due under these Terms. You represent and warrant that you are authorized to use the payment method provided.
- All prices are in Canadian dollars unless expressly stated otherwise.
- Applicable federal and provincial taxes may apply.
- Late payments may result in suspension of services until the outstanding balance is paid in full.
- Any chargebacks, payment reversals, or disputed payments may result in immediate suspension or termination of services.
- You are responsible for any fees charged by your bank, card issuer, or payment provider.
We may revise our pricing at any time. Price changes will not affect services already paid for, except where a change is required by law or expressly agreed otherwise.
5. Cancellation and Refund Policy
We understand that schedules change. To maintain fairness and service availability, the following cancellation and refund policy applies unless a different written policy is provided for a specific program, package, or corporate agreement.
- Individual lessons: Cancellations or rescheduling requests must be made at least 24 hours before the scheduled start time. Late cancellations and no-shows may be charged in full.
- Small-group classes: Because group sessions are scheduled in advance and capacity is limited, missed sessions are generally non-refundable and non-creditable unless required by law or expressly approved by us in writing.
- Corporate training: Cancellation terms for corporate clients may be governed by a separate written agreement. If no separate agreement applies, cancellations made less than 5 business days before the session may be charged in full or in part.
- Packages and prepaid blocks: Prepaid lesson packages are non-transferable unless we agree otherwise in writing. Unused sessions may expire according to the package terms disclosed at purchase.
- Refunds: Refunds, if any, are issued only in accordance with these Terms, a specific written policy, or as required by applicable law. Completed services are not refundable.
If we cancel a lesson or session for reasons within our control, we will generally offer a rescheduled session or, if rescheduling is not reasonably possible, a refund or service credit for the cancelled portion.
If a refund is approved, it will be processed using the original payment method where reasonably practicable, subject to processor limitations and applicable law.
6. Liability Limitations
To the fullest extent permitted by applicable law, Maple Leaf German Learning Ltd., its directors, officers, employees, contractors, instructors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, opportunity, or anticipated savings arising out of or relating to your use of our services.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services, these Terms, or any transaction with us shall not exceed the amount you paid to us for the specific service giving rise to the claim in the 3 months preceding the event first giving rise to liability, or CAD $100, whichever is greater, unless a different limitation is required by law.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence where such exclusion is prohibited by law.
Our services are educational in nature and do not constitute legal, immigration, medical, psychological, financial, or professional advice. Any reliance on educational content, translations, or exam preparation guidance is at your own risk.

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the materials solely for your personal, non-commercial learning purposes or, in the case of corporate training, for the internal educational use of the client organization.
You must not:

We may use third-party service providers, including hosting, communication, scheduling, and payment processing providers, who may process personal information on our behalf in Canada or other jurisdictions. We take reasonable steps to require appropriate safeguards, but where data is processed outside Canada it may be subject to foreign laws.
You acknowledge that online lessons and digital communications may involve inherent security and privacy risks. While we use commercially reasonable safeguards, we do not guarantee absolute security.
For questions about privacy or to request access or correction of your personal information, contact us using the details in Section 12.
9. Force Majeure
We shall not be liable for any delay, failure, or interruption in performing our obligations where such delay or failure is caused by events beyond our reasonable control, including but not limited to: acts of God, fire, flood, storms, pandemics, epidemics, illness, war, terrorism, civil unrest, labour disputes, power outages, telecommunications failures, internet disruptions, governmental actions, or failures of third-party platforms or service providers.
In the event of force majeure, we may suspend, reschedule, modify, or cancel affected services without liability, subject to any rights you may have under applicable law or any separate written agreement.
10. Changes to Terms
We may update or revise these Terms from time to time at our discretion. When we do, we will post the updated Terms on our website or otherwise make them available to you and revise the effective date where appropriate.
Your continued use of our services after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.
If a material change affects prepaid or ongoing services, we will take reasonable steps to notify you in advance where required by law or where reasonably practicable.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of our services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to any mandatory consumer protection laws or other non-waivable legal rights, you agree that the courts located in Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or our services.

If any invalid or unenforceable provision would be valid or enforceable if modified, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent as closely as possible.
